These Terms of Service ("Terms") govern your access to and use of the Clifton Automations platform, including our website, APIs, dashboard, and AI-powered missed call response and booking service (collectively, the "Service"), operated by Brandon Clifton ("Clifton Automations," "we," "us," or "our").
By creating an account or using the Service, you ("you," "your," or "Customer") agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms. If you do not agree, do not use the Service.
1. Service Description
Clifton Automations provides an AI-powered missed call response and appointment booking platform designed for local businesses. The Service includes:
- Automatic SMS responses to missed calls within 60 seconds
- AI-powered conversational booking via SMS
- Real-time dashboard with call logs, conversations, bookings, and lead tracking
- Freeform question answering about your business (hours, services, pricing)
- Escalation to the business owner when the AI cannot resolve a query
- Push notifications for missed calls, bookings, and escalations
- Optional email marketing and Google Ads integration features
2. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Operate a legitimate business based in the United States
- Have the legal authority to enter into these Terms on behalf of your business
- Provide accurate and complete registration information
- Comply with all applicable federal, state, and local laws, including telecommunications regulations
3. Account Terms
- You must provide accurate, current, and complete information during registration and keep it updated
- One account per business. Multiple accounts for the same business are not permitted
- You are responsible for maintaining the confidentiality of your account credentials (username and password)
- You are responsible for all activity that occurs under your account
- You must notify us immediately at [email protected] if you suspect unauthorized access to your account
- We reserve the right to suspend or terminate accounts that violate these Terms
4. Pricing and Plans
Clifton Automations offers the following subscription plans:

Additional setup fees may apply for custom configurations, dedicated onboarding, or specialized integrations. Any setup fees will be clearly communicated before purchase.
We reserve the right to change pricing with 30 days' written notice. Price changes will not affect your current billing period.
5. Billing and Payment
- Free trial: All plans include a 14-day free trial. No credit card is required to start a trial
- Payment processing: All payments are processed securely through Stripe. We do not store your credit card information
- Billing cycle: Subscriptions are billed monthly on the anniversary of your subscription start date
- Auto-renewal: Subscriptions automatically renew each month unless cancelled before the renewal date
- Failed payments: If a payment fails, we will attempt to charge the payment method on file up to three times. After three failed attempts, your account may be suspended
- Taxes: Prices are exclusive of applicable taxes. You are responsible for any sales tax, use tax, or similar taxes imposed by your jurisdiction
6. Cancellation and Refunds
- Cancel anytime: You may cancel your subscription at any time through your dashboard billing settings or by contacting us
- Access through billing period: Upon cancellation, you retain access to the Service through the end of your current paid billing period
- No partial refunds: We do not provide refunds for partial months of service
- 30-day guarantee: If you cancel within the first 30 days of your paid subscription (not including the free trial), we will provide a full refund
- Data after cancellation: Your data is retained for 90 days after cancellation, then permanently deleted. You may request early deletion or data export before that time
7. Acceptable Use Policy
You agree not to use the Service to:
- Send unsolicited bulk messages (spam) or messages in violation of the TCPA or CAN-SPAM Act
- Transmit illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Attempt to manipulate, exploit, or abuse the AI system (prompt injection, jailbreaking, or similar techniques)
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Attempt to gain unauthorized access to other users' accounts or data
- Use the Service for any purpose that violates federal, state, or local law
- Resell, sublicense, or redistribute the Service without our written consent
- Use the AI to generate content that is discriminatory, sexually explicit, or promotes violence
- Exceed your plan's usage limits through automated means or circumvention
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.
8. Service Availability
We target 99.5% uptime for the Service, measured on a monthly basis. This is a target, not a guaranteed service level agreement (SLA).
The uptime target excludes:
- Scheduled maintenance (announced at least 24 hours in advance)
- Outages caused by third-party services (Twilio, Stripe, internet service providers)
- Force majeure events (natural disasters, government actions, widespread internet outages)
- Issues caused by your equipment, network, or misuse of the Service
We will make commercially reasonable efforts to notify you of planned downtime and to resolve unplanned outages as quickly as possible.
9. Intellectual Property
9.1 Our Property
The Service, including all software, code, design, text, graphics, logos, AI models, algorithms, and documentation, is owned by Clifton Automations and is protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your subscription.
9.2 Your Property
You retain all rights to your business data, including your business information, customer records, booking data, and conversation content. We claim no ownership over your data. You grant us a limited license to process, store, and display your data solely as necessary to provide the Service.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- CLIFTON AUTOMATIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE
- OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CLIFTON AUTOMATIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
- WE DO NOT GUARANTEE THAT THE AI WILL PROVIDE PERFECTLY ACCURATE RESPONSES IN ALL SITUATIONS. THE AI IS A TOOL TO ASSIST YOUR BUSINESS, NOT A REPLACEMENT FOR PROFESSIONAL JUDGMENT
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Clifton Automations, its owner, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; (d) any content or data you provide to the Service; or (e) your violation of any applicable law or regulation, including TCPA and CAN-SPAM.
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.
12.2 Informal Resolution
Before filing any formal dispute, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
12.3 Binding Arbitration
If we cannot resolve the dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Ohio, United States.
- The arbitrator's decision shall be final and binding
- Judgment on the arbitration award may be entered in any court of competent jurisdiction
- Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise
12.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13. Termination
13.1 Termination by You
You may terminate your account at any time by cancelling your subscription through the dashboard or by contacting us. Upon termination, your access to the Service will continue through the end of your current billing period.
13.2 Termination by Clifton Automations
We may suspend or terminate your account at any time if:
- You violate these Terms or the Acceptable Use Policy
- Your payment fails and remains unresolved after reasonable notice
- We are required to do so by law
- Your use of the Service poses a security risk to the platform or other users
In cases of serious violations (fraud, abuse, illegal activity), we may terminate immediately without notice. In other cases, we will provide at least 7 days' notice before termination.
14. Changes to These Terms
We may modify these Terms from time to time. We will provide at least 30 days' written notice of any material changes by sending an email to the address associated with your account. Non-material changes (such as formatting or clarification) may be made without notice. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the new Terms, you must stop using the Service and cancel your account before the changes take effect.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clifton Automations regarding the Service
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect
- Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision
- Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, riots, government actions, or internet outages
- Notices: All notices under these Terms shall be in writing and sent to the email address on file for your account or to [email protected] for notices to Clifton Automations
